Effective Date: November 4, 2026

1. General Terms and Scope

These Business-to-Business Terms and Conditions of Sale (“Terms”) govern the sale and distribution of products by Ocean Pak Brands, LLC, doing business as NATURA (“NATURA,” “we,” “us,” or “our”), to commercial customers (“Customer,” “Buyer,” or “you”).

These Terms apply to all business-to-business sales of pre-rolled cones, rolling papers, custom-branded cones, and related consumable products supplied by NATURA, whether ordered through our website, email, purchase orders, or direct communication with our sales representatives.

These Terms do not apply to equipment or machinery sales, which are subject to separate commercial arrangements.

All orders are subject to these Terms where they have been incorporated into the transaction. Any additional or conflicting terms contained in a Customer’s purchase order or other documentation shall not apply unless expressly agreed to in writing by NATURA.

Where a separate written agreement has been executed between NATURA and a Customer, that agreement shall take precedence over these Terms to the extent of any conflict.

2. Business Customers and Regulatory Compliance

NATURA supplies products intended for commercial and wholesale use.

Customers are responsible for ensuring they possess all licenses, permits, and regulatory approvals required to purchase, possess, use, distribute, or resell the products supplied by NATURA.

Customers are responsible for compliance with all applicable federal, state, provincial, and local laws and regulations governing their business activities, including applicable cannabis, tobacco, packaging, and labeling regulations.

NATURA reserves the right to refuse or cancel orders where fulfillment may violate applicable laws or regulatory requirements.

3. Quotations, Pricing, and Product Availability

Product pricing is determined based on factors including order quantities, product specifications, customization requirements, market conditions, and individual commercial arrangements.

Unless otherwise indicated, quotations are valid for the period stated in the quotation and are subject to product availability and final acceptance by NATURA.

NATURA reserves the right to modify pricing for future orders and to correct pricing or administrative errors before accepting an order.

Any pricing modifications affecting an already accepted purchase order require mutual agreement unless otherwise provided in a separate written contract.

Applicable taxes, freight charges, customs duties, and other associated costs will be determined by the terms agreed upon for each transaction.

4. Purchase Orders and Order Acceptance

Purchase orders must clearly identify the products, quantities, applicable specifications, and requested delivery requirements.

All orders are subject to review and acceptance by NATURA.

An order becomes binding when NATURA provides written acceptance or an order confirmation.

NATURA may request additional information, documentation, deposits, or other requirements before accepting an order.

Once an order has been accepted, any cancellation or modification requires NATURA’s written approval and may be subject to costs already incurred.

For custom-branded or custom-manufactured products, the additional restrictions described in Section 6 apply.

5. Payment Terms

Payment terms are established on an individual, customer-by-customer basis and may vary depending on account history, order volume, product type, credit approval, and other commercial considerations.

Applicable payment terms will be communicated through quotations, invoices, order confirmations, or other written agreements between NATURA and the Customer.

NATURA reserves the right to review and adjust credit arrangements for future transactions based on individual account circumstances.

Customers are responsible for ensuring payment is received according to the agreed terms.

NATURA may suspend future order processing, require advance payment, or modify credit arrangements for future transactions where payments are overdue or account circumstances warrant such action, subject to any existing written agreements.

6. Custom-Branded and Custom-Manufactured Products

Custom products include, but are not limited to, products manufactured or procured according to Customer-specific branding, artwork, dimensions, materials, sizes, or other specifications not included within NATURA’s standard product offering.

Customers are responsible for reviewing and approving all applicable artwork, branding, dimensions, specifications, and production proofs before manufacturing begins.

Once a custom-branded or custom-manufactured order has entered production, the order is considered final and cannot be canceled, reduced, or modified without NATURA’s written authorization.

All custom-branded and custom-manufactured products are non-returnable and non-refundable except where a legitimate and verified quality claim establishes a defect or failure to meet the approved specifications.

NATURA is not responsible for errors contained in artwork, branding, or specifications that were approved by the Customer before production.

Any modifications requested after production begins may be subject to additional costs and revised delivery schedules, if such modifications are feasible and accepted by NATURA.

7. Shipping, Freight, and Delivery

Shipping arrangements and freight charges are determined on a case-by-case basis, taking into consideration order volume, destination, shipping method, and other commercial factors.

Freight may be included in product pricing or charged separately, depending on the terms agreed upon for the applicable order.

Estimated shipping and delivery dates are provided in good faith but are not guaranteed unless expressly agreed in writing.

NATURA is not responsible for delivery delays resulting from circumstances outside its reasonable control, including carrier disruptions, customs delays, transportation interruptions, or supply chain issues.

Responsibility for shipping costs, insurance, loss, or damage during transit will be determined by the agreed shipping arrangements and applicable law.

Customers are responsible for providing accurate shipping information and ensuring that shipments can be received at the designated delivery location.

8. Inspection and Reporting of Quality Claims

Customers are responsible for inspecting products promptly upon delivery to verify quantities, product condition, branding, and general conformity with the agreed specifications.

Visible shipping damage, shortages, incorrect branding, and apparent product defects must be reported to NATURA within 72 hours of delivery.

Quality claims involving defects that could not reasonably have been identified during the initial inspection must be reported promptly, preferably within 72 hours of discovery, with supporting documentation.

Quality claims may include:

  • Defective or damaged products
  • Incorrect branding or printing
  • Products that materially differ from approved specifications
  • Damage resulting from shipping or handling during transit
  • Incorrect quantities or products supplied

NATURA reserves the right to request reasonable supporting documentation, including photographs, videos, lot or batch numbers, carton labels, order information, product samples, or other relevant evidence to evaluate a claim.

Customers must provide sufficient information to allow NATURA to reasonably investigate the reported issue.

Submitting a claim does not automatically establish that a product is defective or that a credit or replacement is warranted.

All claims will be evaluated based on the circumstances, available supporting evidence, and applicable product specifications.

9. Resolution of Verified Quality Claims

Where NATURA determines that a legitimate quality claim exists, an appropriate resolution will be determined based on the nature and extent of the issue.

Depending on the circumstances, NATURA may offer:

  • Replacement of affected products
  • A full or partial credit toward an existing or future order
  • Another mutually agreed commercial resolution

NATURA reserves the right to inspect or request samples of the affected products before approving a claim.

Customers should retain the affected products and applicable packaging until the investigation has been completed or NATURA authorizes their disposal.

NATURA’s responsibility for confirmed defects will be limited to the remedies and liability provisions contained in these Terms, subject to applicable law and any separately agreed written warranties.

10. Returns of Standard, Unbranded Products

Returns of standard, unbranded products may be considered within 30 calendar days of delivery, provided the products are standard inventory items and not custom-branded, custom-sized, or otherwise manufactured to Customer-specific specifications.

All return requests are reviewed individually and are subject to NATURA’s approval.

Returns will only be considered where the Customer provides a reasonable and legitimate explanation for the requested return.

Approval is not automatic, and NATURA reserves the right to accept or decline a return request based on the circumstances.

To be eligible for consideration:

  • Products must be unused and unopened.
  • Products must remain in their original packaging and saleable condition.
  • The Customer must provide the relevant order information and reason for the return.
  • Written authorization must be obtained from NATURA before any products are returned.

Customers must not return products without receiving appropriate return instructions and authorization.

Unless otherwise agreed, return shipping costs are the responsibility of the Customer.

Any applicable restocking charges or other conditions will be communicated before the return is approved.

Credits or refunds for approved returns will be processed following receipt and satisfactory inspection of the returned products.

11. Non-Returnable Products

The following products are not eligible for standard discretionary returns:

  • Custom-branded or printed products
  • Custom-sized cones or other products manufactured to Customer-specific dimensions
  • Products manufactured or procured to unique Customer specifications
  • Products that have been opened, used, altered, improperly stored, or damaged after delivery

These exclusions do not prevent Customers from submitting legitimate quality claims regarding verified manufacturing defects, incorrect branding, or products that materially fail to meet approved specifications.

12. Product Specifications and Manufacturing Variations

NATURA supplies products according to the specifications agreed upon at the time of order acceptance.

Product characteristics may include cone dimensions, paper type, filter specifications, branding, packaging, and other agreed requirements.

Reasonable manufacturing tolerances and variations may occur consistent with applicable product specifications and industry manufacturing practices.

Customers requiring specific dimensions, tolerances, or technical requirements must communicate these requirements and obtain confirmation before placing an order.

NATURA is not responsible for product differences that fall within the agreed specifications or reasonable manufacturing tolerances.

13. Equipment Compatibility and Product Performance

NATURA’s pre-rolled cones are intended for use in various commercial pre-roll production environments.

Product performance may be influenced by factors including equipment configuration, machine settings, filling materials, environmental conditions, storage, handling, and production procedures.

Customers are responsible for evaluating product compatibility with their specific production equipment and operating requirements before committing to commercial production volumes.

Unless expressly agreed in writing, NATURA does not guarantee specific production speeds, machine output, reject rates, or other production performance metrics.

This provision does not limit NATURA’s obligations regarding confirmed product defects or material nonconformity with agreed specifications.

14. Product Storage and Handling

Customers are responsible for maintaining appropriate storage and handling conditions following delivery and transfer of risk.

Products should be stored in conditions that protect against excessive humidity, moisture, heat, contamination, physical damage, and other factors that may compromise product quality.

NATURA is not responsible for damage, deterioration, or performance issues caused by improper storage, handling, or use after the applicable transfer of risk, except to the extent attributable to an existing product defect for which NATURA remains responsible.

15. Intellectual Property and Customer Branding

All NATURA trademarks, trade names, logos, product materials, and website content remain the property of NATURA or their respective owners.

Customers retain ownership of their proprietary logos, trademarks, artwork, and branding materials supplied for custom production.

By providing branding materials, the Customer represents that it possesses the necessary rights and authorizations for their commercial use and grants NATURA permission to use those materials solely as reasonably necessary to fulfill the applicable order.

The Customer is responsible for ensuring that supplied branding and artwork comply with applicable intellectual property and labeling requirements.

NATURA will not knowingly use Customer-owned branding for unrelated commercial purposes without authorization.

16. Limitation of Liability

NATURA will make commercially reasonable efforts to supply products that conform to the agreed specifications and quality requirements.

To the maximum extent permitted by applicable law, NATURA shall not be liable for indirect, incidental, special, punitive, or consequential damages arising from product sales or use, including lost profits, production downtime, lost business opportunities, or other indirect operational losses.

Except where prohibited by applicable law or otherwise expressly agreed in writing, NATURA’s aggregate liability arising from an affected order shall not exceed the purchase price of the products giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

Except for expressly agreed product specifications, written warranties, and warranties that cannot lawfully be disclaimed, NATURA disclaims implied warranties of merchantability and fitness for a particular purpose to the maximum extent permitted by applicable law.

17. Events Beyond Reasonable Control

NATURA shall not be responsible for delays or failure to fulfill contractual obligations resulting from circumstances beyond its reasonable control.

Such circumstances may include natural disasters, transportation interruptions, labor disputes, governmental actions, customs delays, material shortages, supply chain disruptions, or other unforeseen events.

NATURA will make commercially reasonable efforts to communicate significant disruptions and provide updated delivery information where possible.

18. Governing Law and Dispute Resolution

These Terms and all commercial transactions governed by them shall be interpreted in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles.

The parties agree to make reasonable, good-faith efforts to resolve commercial disputes through direct communication.

If a dispute cannot be resolved informally, the parties agree that proceedings shall be brought before the appropriate state courts located in Miami-Dade County, Florida, or the United States District Court for the Southern District of Florida, where federal jurisdiction exists.

Each party consents to the jurisdiction and venue of those courts, subject to applicable law.

19. Entire Agreement and Modifications

These Terms, together with accepted quotations, order confirmations, and any applicable written commercial agreements, govern the applicable sale.

In the event of conflicting provisions, a separately executed written agreement will take precedence, followed by expressly agreed special terms in the applicable accepted quotation or order confirmation, and then these Terms.

Any amendments to an accepted transaction must be agreed upon in writing by authorized representatives of the parties.

NATURA reserves the right to amend these Terms periodically by publishing an updated version on its website.

Updated Terms will apply to future orders where properly incorporated into the transaction and will not retroactively alter previously accepted orders without mutual agreement.

If any provision is found to be unenforceable, the remaining provisions shall remain in effect to the extent permitted by applicable law.
